Wednesday, July 25th Agenda

Morning Session:  8AM – 10AM – Your Board Needs to Embrace Transformation: Digital and Human

This session will focus on the changing nature of board service, changing demographics and the impact on credit unions.  Building a culture of trust at the board level based upon data, the need for board optimization and the dynamic role directors have in attracting new members and future leaders is critical.  The days of passive, response-only boards have ended as directors are being called on to participate in the ongoing creation of strategy, succession planning, technology and cybersecurity issues, reputation and other related enterprise risk issues. This presentation will provide insights into understanding the impact board members and management play in embracing transformation from both a digital and human perspective. Establishing the right culture, tone and skill sets to accommodate these new realities takes work and focus.

This session will provide an opportunity to take a deeper dive into the many questions on how boards can embrace transformation, both digital and human.  This highly interactive session will be a Q&A that will enable participants to focus on board challenges to gain greater insight into how to address them.

  • Attendees will have an opportunity to ask questions regarding governance and transformation challenges facing directors and executives
  • Attendees will learn about concerns facing other directors and executives through smaller group dialogues and be provided with additional guidance and tools to help solve these challenges

Afternoon Session 1PM – 2:15PM – The Strategic Planning Process: Your Role In Oversight and Continuous Learning

The board has two very distinct and critical roles: Effectively Overseeing Strategy and Ensuring Effective Succession Planning.  Throughout this session we will address the first role, Overseeing Strategy.  We will cover topics such as understanding your organization’s mission/vision and values, it’s risk culture, it’s performance metrics and dashboards that are used to hold the CEO and the board accountable.  Ensuring continuous learning on the board is critical to keep up with important issues like cybersecurity, blockchain, AI, ESG and how these will impact future strategies.   In order to ensure the successful execution of strategy, collecting data on employee satisfaction and member satisfaction should be part of this process.

Morning Session:  8AM – 10AM – The Important Role of Effective Board Assessments

Dysfunctional boards waste time and more importantly, dysfunction depletes the organization’s resources through unwise decisions and missed opportunities.  Highly functioning boards have the courage to step back and take a hard look in the mirror to grasp what is working well and what needs to be improved.  Board assessments provide a look in the mirror at the board’s culture and should serve as a baseline for an intelligent conversation.  It’s important to have real data to continue to understand what you do well and to reflect on where growth is needed.

Afternoon Session 1PM – 2:15PM – Succession Planning Needs To Be Your #1 Priority

Having the right talent in place to drive strategies, manage risk and keep the organization on track to deliver member value and member satisfaction is a crucial responsibility of the board. Talent goes beyond CEO succession planning.  Does the existing talent support the organization’s strategy and its risk profile? Is there bench strength?  What do the retention numbers look like?  Human capital represents more than half a company’s operating costs.  Managing both human and financial capital is a dual oversight role of the board.  Success doesn’t happen without the right talent.  Board succession planning and successful onboarding of board members is equally as important to ensure the right board talent to address the changing complex world today including technology, digitization and demographic shifts that are reshaping organizations.

Session Description
Boards need to be aligned with the strategy of the organization and making sure you have the right directors for the future is challenging as it involves board rotation and often serious discussion.  .Does the existing internal and board talent support the organization’s strategy and its risk profile? Is there bench strength?  What do the retention numbers look like?  Getting this onto the CEO’s dashboard with metrics around it, ensures that you can develop leadership internally, rather than seeking new hires from the outside.

Morning Session:  8AM – 10AM – Board Culture and Board Meeting Optimization

This session will include a presentation on board culture including best practices for board meeting optimization including preparation, increasing meeting effectiveness and follow through, committee structures and effective strategic communication.  As boards expand their engagement, the issues of board/management relationships, the creation of long-term value, roles and responsibilities and communication become key.  Creating an open dialogue on these issues requires trust, as the fiduciary duty to ask robust, insightful and probing questions can cause tension.  Tone at the top is critical. This morning session will highlight effective board participation, preparation, continuous learning and the important skill sets that will help to optimize your boards for greater collaboration and successful outcomes.

Morning Session   10:15AM – Noon – Board Culture and Board Meeting Optimization Deep Dive

This session will enable participants to take a deeper dive into everything learned throughout this conference to ensure learnings and positive take-aways to share. Whether it be board preparation, board agendas that take a forward look and focus on the CEOs dashboard, new rules for deck presentations, identifying flaws in strategic assumptions, risk management, scheduling enough time for “hot strategic topics” such as cybersecurity, blockchain or whistleblower enforcement, these new subjects should be on your radar to help frame intelligent discussions around strategies and succession planning.
